These Terms and Conditions (“Terms”) govern the provision of SEO and Digital Marketing services by SEO INTERAMPLIFY GLOBAL – FZCO (“Company,” “we,” “us,” or “our”) to clients (“Client,” “you,” or “your”). By engaging our services, you agree to be bound by these Terms and our Privacy Policy.

Service Performance and Results Disclaimer
IMPORTANT: While we employ industry best practices and proven methodologies, digital marketing results are influenced by numerous factors beyond our control. We make no guarantees regarding:
- Specific search engine ranking positions
- Guaranteed increases in website traffic or conversions
- Return on investment (ROI) or revenue generation
- Protection against search engine algorithm changes
- Social media follower growth or engagement rates
- Advertising campaign performance or click-through rates
SEO and digital marketing are long-term strategies that typically require 3-6 months to show significant results. Results depend on factors including but not limited to: website technical condition, content quality, competition, market conditions, search engine algorithm updates, and client compliance with our recommendations.
Client Responsibilities and Requirements
To ensure effective service delivery, clients must:
- Provide accurate and complete business information
- Grant necessary access to websites, social media accounts, advertising platforms, and analytics tools
- Respond to requests for information or approvals within agreed timeframes
- Implement technical recommendations when feasible
- Maintain website functionality and security
- Comply with platform policies (Google, Facebook, etc.)
- Provide feedback and approvals for content and campaigns
- Ensure website hosting and domain management remain active
Failure to meet these responsibilities may impact service effectiveness and results. Additional charges may apply for delays caused by client non-compliance.
Payment Terms and Pricing
Payment Structure:
- Monthly retainer services: Payable in advance at the beginning of each month
- Project-based services: As specified in the Service Agreement
- Setup fees: Payable upon service commencement
- Advertising spend: Separate from management fees, billed as incurred
Payment Terms:
- All invoices are due within 30 days of issue date
- Late payments incur a 3% monthly fee on outstanding amounts
- Services may be suspended for accounts overdue by 45+ days
- All amounts are in UAE Dirhams (AED) unless otherwise specified
- Prices exclude VAT where applicable
Refund Policy:
- Setup fees and completed work are non-refundable
- Monthly retainers are refundable on a pro-rata basis for the unused portion of the current month only
- Unused advertising spend will be refunded upon termination
- No refunds for services rendered in previous billing periods
Service Level Commitments
We commit to:
- Provide monthly performance reports within 5 business days of month-end
- Respond to client inquiries within 48 hours during business days
- Implement approved changes within agreed timeframes
- Maintain transparent communication about campaign performance
- Provide quarterly strategy reviews for long-term clients
Business hours are Sunday-Thursday, 9:00 AM – 6:00 PM UAE time, excluding UAE public holidays.
Intellectual Property Rights
Client-Created Content:
- Content, designs, and materials created specifically for the client become client property upon full payment
- This includes blog posts, ad copy, social media content, and custom graphics
Company Proprietary Assets:
- Our methodologies, processes, strategies, and tools remain our intellectual property
- Templates, frameworks, and standard operating procedures are not transferable
- Access to our proprietary software and tools terminates with service termination
Third-Party Licenses:
- Clients are responsible for licensing fees for premium tools or software requested for their campaigns
- Stock photos, premium plugins, or software licenses are billed separately
Confidentiality and Data Protection
We maintain strict confidentiality regarding:
- Client business information, strategies, and performance data
- Login credentials and access information
- Proprietary business processes and competitive information
- Customer lists and marketing databases
Client data is protected in accordance with our Privacy Policy and UAE Federal Law No. 2 of 2019 on Data Protection. We may use aggregate, non-identifying performance data for industry benchmarking and case study purposes with client consent.
Limitation of Liability
To the maximum extent permitted by UAE law:
- Our total liability is limited to the fees paid by the client in the 12 months preceding the claim
- We are not liable for indirect, consequential, or punitive damages
- We are not responsible for loss of profits, revenue, data, or business opportunities
- We are not liable for technical issues with third-party platforms (Google, Facebook, etc.)
- Force majeure events (algorithm changes, platform policy changes, etc.) are excluded from liability
Platform-Specific Disclaimers:
- Google Ads, Facebook Ads, and other platform policies may change without notice
- Account suspensions or policy violations by platforms are beyond our control
- We are not responsible for platform billing discrepancies or unauthorized charges
Service Termination
Termination by Client:
- 30-day written notice required for monthly services
- 60-day notice required for contracts exceeding 6 months
- Project-based work cannot be terminated once commenced without payment for completed work
Termination by Company:
- Immediate termination for non-payment after 45-day grace period
- 30-day notice for other breaches of terms
- Immediate termination for illegal activities or platform policy violations
Post-Termination:
- All access to accounts and platforms will be transferred to client within 14 days
- Final reporting and account documentation provided within 30 days
- Ongoing campaigns will be paused unless client provides alternative management
- Client data will be securely deleted after 90 days unless requested otherwise
Compliance and Ethics
Our services comply with:
- UAE Telecommunications and Digital Government Regulatory Authority (TDRA) guidelines
- Google Ads and Search Console Terms of Service
- Facebook/Meta Advertising Policies
- UAE Consumer Protection regulations
- International digital marketing best practices and ethical standards
We reserve the right to decline services for businesses or campaigns that:
- Violate UAE laws or cultural norms
- Promote illegal activities or harmful products
- Conflict with our ethical standards or values
- Are likely to violate platform terms of service
Contract Modifications and Updates
- Service scope changes require written agreement from both parties
- Price adjustments may occur with 60-day notice for ongoing services
- These Terms may be updated to reflect changes in UAE law or industry standards
- Significant changes will be communicated via email with 30-day notice
- Continued use of services after notice constitutes acceptance of updated terms
Dispute Resolution
Dispute Resolution Process:
- Step 1: Direct negotiation between parties for 30 days
- Step 2: Mediation through Dubai International Arbitration Centre (DIAC)
- Step 3: Binding arbitration under DIAC Arbitration Rules if mediation fails
Escalation to Courts:
If arbitration is unsuccessful or not applicable, disputes will be resolved in the Dubai Courts under UAE law.
Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:
- Search engine algorithm updates or policy changes
- Social media platform policy modifications
- Government regulations affecting digital marketing
- Technical failures of third-party platforms
- Natural disasters, pandemics, or civil unrest
- Internet outages or cybersecurity incidents
Severability and Governing Law
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms are governed by the laws of the United Arab Emirates and the regulations of Dubai International Financial Centre where applicable.
Entire Agreement
These Terms, together with our Privacy Policy and any signed Service Agreements, constitute the entire agreement between the parties. No oral agreements or representations outside of these written terms are binding.
